⚠️ Please read these Terms carefully before using our services or placing an order. By using cpdigitals.eu or engaging our services, you agree to be bound by these Terms.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client") and CP Digitals, located at Ekselerbrink 46, 7812VM Emmen, Netherlands ("we", "us", "our"). By accessing our website, using our services, or placing an order in our shop, you confirm that you have read, understood, and agree to these Terms.
If you do not agree to these Terms, please do not use our services.
2. Our Services
CP Digitals offers the following services:
- Web Design & UI/UX Design
- Custom Web Development
- WordPress Development
- E-Commerce Solutions (Shopify, WooCommerce)
- Mobile App Development (iOS & Android)
- Brand Identity & Logo Design
- SEO & Digital Marketing
- Custom Software Development
- Digital products sold via our online shop
The specific scope, deliverables, timeline, and price for each project are agreed upon in a separate Project Proposal or Statement of Work (SOW), which forms part of these Terms.
3. Orders & Payment
3.1 Service Projects
- A project begins upon written confirmation (email or signed proposal) and receipt of the agreed deposit
- Standard payment terms: 50% deposit upfront, 50% upon project completion
- For larger projects, milestone-based payment schedules may be agreed in writing
- All prices are in EUR (€) and exclusive of VAT unless stated otherwise
3.2 Shop Purchases
- All prices in the shop are displayed inclusive of applicable VAT
- Payment is processed securely via Stripe — we do not store your card details
- Your order is confirmed once payment is successfully processed and you receive a confirmation email
3.3 Late Payment
Invoices not paid within the agreed payment period are subject to statutory interest under Dutch law (Wettelijke handelsrente). We reserve the right to suspend services for accounts with outstanding payments.
4. Delivery & Timelines
Project timelines are estimated and agreed upon in the project proposal. Delivery times may be affected by:
- Delays in receiving content, feedback, or approvals from the client
- Scope changes requested during the project
- Force majeure events
We will communicate any delays promptly. For digital shop products, delivery is immediate upon successful payment unless stated otherwise.
5. Refunds & Cancellations
5.1 Service Projects
- Deposits are non-refundable once work has commenced
- If you cancel before work begins, the deposit may be refunded at our discretion, minus any administrative costs
- If we fail to deliver agreed services, you are entitled to a proportional refund
5.2 Shop / Digital Products
- Digital products are non-refundable once downloaded or accessed, in accordance with EU Consumer Rights Directive Art. 16(m)
- If a product is faulty or not as described, please contact us within 14 days and we will offer a replacement or full refund
5.3 EU Right of Withdrawal
EU consumers have a 14-day right of withdrawal for physical goods. For digital services or content, this right expires upon commencement of delivery with your explicit consent.
6. Intellectual Property
6.1 Client Ownership
Upon full payment, all custom design and development work created specifically for you becomes your property. You receive full ownership of the final deliverables.
6.2 CP Digitals Rights
- We retain ownership of any pre-existing tools, frameworks, libraries, and proprietary code used in delivering the project
- We may display the completed work in our portfolio unless you request confidentiality in writing
- Third-party components (fonts, stock imagery, plugins) remain subject to their respective licenses
6.3 Client Content
You warrant that any content, images, or materials you provide to us do not infringe any third-party intellectual property rights. You indemnify us against any claims arising from client-supplied content.
7. Client Responsibilities
To enable us to deliver your project effectively, you agree to:
- Provide accurate, complete, and timely information, content, and feedback
- Designate a single point of contact with authority to approve decisions
- Respond to requests for feedback within agreed timeframes (typically 5 business days)
- Not use our services for any unlawful, harmful, or fraudulent purpose
- Maintain secure access credentials to any systems we provide
8. Limitation of Liability
To the maximum extent permitted by Dutch and EU law:
- Our total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific project or product in question
- We are not liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities
- We are not responsible for third-party services, platforms, or tools (e.g., WordPress plugins, hosting providers, payment gateways) that we use to deliver your project
Nothing in these Terms limits liability for death, personal injury, fraud, or any other liability that cannot be excluded under applicable law.
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This obligation continues for 2 years after project completion. We may sign a separate Non-Disclosure Agreement (NDA) upon request.
10. Termination
Either party may terminate a project with 14 days written notice. Upon termination:
- You are responsible for payment of all work completed up to the termination date
- We will deliver all completed work and project files upon receipt of outstanding payment
- Deposits are non-refundable unless termination is due to our breach
We reserve the right to terminate immediately if you breach these Terms, fail to pay, or engage in unlawful conduct.
11. Governing Law & Disputes
These Terms are governed by the laws of the Netherlands. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in the Netherlands.
We encourage you to contact us first to resolve any dispute amicably. EU consumers may also use the EU Online Dispute Resolution platform.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on our website at least 14 days before taking effect. Continued use of our services after that date constitutes acceptance of the updated Terms.
